DESCRIPTION OF REQUIREMENT The Treasury Board of Canada Secretariat (the Secretariat) has a requirement for translation services on an "as and when requested" basis. The purpose is to translate texts from English to French and from French to English. The texts to be translated will be précis, decision letters, meeting agendas, memoranda to Cabinet, news releases, questions and answers, presentations, reports, correspondence and other texts such as policies, procedures, reports, labour relations documents, procedure manuals and a variety of sensitive and strategic communications prepared for or tabled in Parliament by the President of the Treasury Board. TBS requirements for translation services correspond to an estimated total work volume of 6,000,000 words per year. It is intended to result in the award of up to three (3) contracts of one (1) year each, plus four (4) one-year irrevocable options allowing Canada to extend the term of the contract. There is also a four (4) months optional transition period from the contract to a new contract with another supplier. A resource from the Contractor ranked first will be required to work at the client's site one day per week, depending on the level of security of the documents to be translated. This requirement is subject to the COVID-19 Vaccination Policy for Supplier Personnel. This requirement is subject to Canadian Free Trade Agreement (CFTA). This requirement is limited to Canadian services. This procurement is not subject to the Comprehensive Land Claims Agreements (CLCA). 2. PERIOD OF THE CONTRACT The term of any resulting Contract will be one (1) year from the date of contract award plus four (4) one-year irrevocable options allowing Canada to extend the term of the contract(s). There is also a four (4) months transition period from the Contract to a new contract with another supplier. 3. SECURITY REQUIREMENT There are security requirements associated with this requirement. For additional information, consult Part 6 - Security, Financial and Other Requirements, and Part 7 - Resulting Contract Clauses. EVALUATION PROCEDURES (a) Offers will be assessed in accordance with the entire requirement of the bid including the technical evaluation criteria. (b) An evaluation team composed of representatives of Canada will evaluate the offers. 5. BASIS OF SELECTION - Highest Combined Rating of Technical Merit (70% and Price (30%) To be declared responsive, a bid must: (a) comply with all the requirements of the bid solicitation; and (b) meet all mandatory evaluation criteria; and (c) obtain the required minimum number of 74 points specified in Attachment 1 to Part 4 for the point rated technical criteria. Bids not meeting (a) or (b) or (c) will be declared non-responsive. 6. BASIS FOR CANADA'S OWNERSHIP OF INTELLECTUAL PROPERTY Canada has determined that any intellectual property rights arising from the performance of the Work under the resulting contract will belong to Canada, for the following reasons, as set out in the Policy on Title to Intellectual Property Arising Under Crown Procurement Contracts: «where the Foreground IP consists of material subject to copyright, with the exception of computer software and all documentation pertaining to that software».
